UR Photo Member Agreement
Welcome to UR Photo. We hope you enjoy using our web site, and find that using our service is convenient, easy and fun.

Before you begin setting up your account with UR Photo (herein referred to as "we", "us", or "UR Photo"), please read the following Terms of Use ("Term") carefully. If you ("you") agree to these Terms, and wish to use the UR Photo service ("Service"), please click on the "Accept" button. This will constitute a binding agreement between you and UR Photo. To decline acceptance, click the "Cancel" button. Note that any violation of these Terms may result in termination of our Service to you.

UR Photo reserves the right to change these Terms from time to time. Please refer to this site periodically for any changes.

If you do not access your account for 1 year or more, your photos and projects may be deleted without further notice.


Your submissions
Membership is available to anyone who registers all required information, provides an accurate, legitimate electronic mail address, and obtains a unique UR Photo Member Name and password. Each Member is allowed to have only one Membership and the privileges associated with Membership. UR Photo allows on registered Membership per legitimate electronic mail address. Membership is intended for personal use only and is non-transferable.

With regard to material you include in a public album, you grant a non-exclusive, world-wide, royalty free license to modify, publish and reproduce said material solely for the purpose of displaying, distributing and promoting the UR Photo.


Personal Information
In order to establish your account or to place any orders for prints or other products provided through the UR Photo Site, you will be asked to provide certain personally identifiable information to us, such as your name, mailing and email address and a credit card number and expiration date. Should there be any change of your personal information, you must provide us the latest information within 30 days of such changes. UR Photo may require members to supply relevant proof of changes before the change of such information.


Member Album Guidelines
The following is a non-exclusive list of actions and content that are NOT permitted on the Site:

1. Any use of copyrighted material without the expressed permission of the author or owner.
2. Any material that encroaches the rights of others, including clear expressions of bigotry, racism, or hatred.
3. Any material that is perceived by UR Photo or members of the UR Photo Community, as abusive, deceptive, profane, slanderous, offensive, or inappropriate, including pornography.
4. Any use of material that contains viruses, corrupt files or other content which may compromise the UR Photo or any user thereof.
5. Any material that violates any laws or regulations of any governing body with jurisdiction over UR Photo, its affiliates and users.
6. Any materials inconsistent with the values of the spirit of the UR Photo Community.

UR Photo may terminate Membership and any and all information, communications, Postings, or Albums at any time, without notice, for conduct that violates this Agreement or other policies or guidelines set out by UR Photo elsewhere on the Site. UR Photo may terminate Membership and delete any and all information, communications, Postings, or Albums for online conduct that UR Photo believes is harmful to other Members, the business of UR Photo, or other third-party information providers.


Privacy
UR Photo will never release the name or other personal information about a Member without the permission of that Member, but reserves the right to distribute aggregated demographic information provided by Members.

The exchange between UR Photo and the Member of information such as passwords or electronic mail may not be secure given the current state of the Internet. UR Photo encourages Members to change their passwords frequently.

Postings and other communications with UR Photo are not private and may be published and edited at the discretion of UR Photo unless specifically instructed otherwise.


Copyrighted Material
You must ensure that your content transferred to and displayed at UR Photo does NOT infringe any copyrights. All content provided by a user of this site is the sole responsibility of that user. If you think that any member infringes your copyrights, please contact the relevant member directly. If you can show sufficient evidence about the infringement, UR Photo will remove such material within reasonable time.


Limitations of Liability and Warranty
The Member agrees that the use of the Site is entirely at the Member's own risk. The Site is provided on an "as is" basis without warranties of any kind, either expressed or implied. Furthermore, neither UR Photo nor any third-party content provider makes any warranty with respect to any content, information, services, or products provided through or in conjunction with the Site.

The Member specifically agrees that UR Photo or third-party content providers are not liable for any conduct by Members associated with the Site, including, but not limited to, Member Albums, Member Profiles, surveys, or message boards.

UR Photo and third-party content providers make no guarantee of the accuracy, correctness, or completeness of any information on the Site and are not responsible for

1. any errors or omissions arising from the use of such information;
2. any failures, delays, or interruptions in the delivery of any content or services contained within the Site; or
3. losses or damages arising from the use of the content or services provided by the Site.

Indemnity
A Member agrees to indemnify UR Photo and any third-party information provider against any and all claims and expenses, including attorneys' fees, arising from the Member's use of the Site. This expressly includes:

1. Member's responsibility for any and all liability arising from the violation or infringement of proprietary rights or copyrights and
2. any libelous or unlawful material contained within Member Albums, profiles, or Postings.

E-commerce
All the products and services which provided by or bought through UR Photo. Its risk of lose and ownership will transfer to buyers once the products or services were delivered by UR Photo.


Amendment
UR Photo may from time to time amend any of the terms and conditions of this Agreement by notifying you and such amendments shall come into effect immediately upon my/our deemed receipt of your notice. You acknowledge and agree that if you continued to use the service after such amendments as notified, you will be deemed as acceptance of such amendments in the terms and conditions.

UR Photo reserve the right to amend any terms and conditions on all promotions and/or services without notice.


Disputes
In the event of any disputes, including but not limiting to disputes pertaining to special offers, UR Photo has the rights to have the final decision of the dispute.


Merger Clause
This Agreement constitutes the entire agreement between the parties with respect to the subject matter contained herein and supersedes any other agreement, proposals and communications, written or oral, between UR Photo representatives and the Member. UR Photo may amend this Agreement at any time with notice from UR Photo to the Member as published on the Site.

The terms and conditions here are deemed as the whole arrangement binding between you and UR Photo. Any other form of communication, either written or oral, would not affect the terms and conditions of the service provided.


Disclaimer about Intellectual Property Rights

1. The customer hereby grants a perpetual, irrevocable, royalty-free and non-exclusive licence (carrying the right to grant sub-licences) to UR Photo and its authorised users, assigns and successors in title the right to utilise the intellectual property rights in the documentation for production of the ordered GIFT (All personalized imaging Gift) and/or for all other purposes contemplated by this Contract.
2. The customer hereby warrants that the documentation and the exercise of the rights conferred on UR Photo, its authorised users, assigns and successors in title under the licence referred to in clause 1 above will not infringe any intellectual property rights of UR Photo or any third parties.
3. The customer further warrants that all necessary lawful authority or consent of all persons (or their respective lawful guardians if they are minors), whose images or information are reproduced or contained in the documentation, have been obtained to use their images or information and to authorise UR Photo and its authorised users, assigns and successors in title to use their images or information for the production for the ordered GIFT and for all other purposes contemplated by this Contract.
4. The customer agrees to indemnify UR Photo against all claims, actions, proceedings, liabilities, losses, demands, charges, costs, damages or expenses that may be suffered or incurred by UR Photo, its authorised users, assigns and successors in title in connection with the exercise of any of the rights conferred on UR Photo, its authorised users, assigns and successors in title under the licence referred to in clause 1 above or any breach of the terms and conditions herein, including any infringement of a third party's intellectual property rights (including any moral rights) existing in any documentation or any part thereof or unauthorised use of a third party's image, design or other material, or any part thereof.
5. Variations in colour, image quality and position may occur in the finished product. The customer acknowledges that the finished image is dependant on the quality of the documentation. UR Photo shall not refund any payment received or shall not accept any request for free replacement on the ground of dissatisfaction with the finished image.

ATTENTION: Please keep copies of your images. Your uploaded images cannot be downloaded and UR Photo is not liable for the loss of these images.
